Terms

Important: These Terms govern your access to and use of Lumexo’s website(s), web or mobile interface(s), APIs, and related services (collectively, the “Interface”). The Interface is a non-custodial front-end that allows you to interact with decentralized protocols on public blockchains. Lumexo does not custody user funds, operate liquidity pools, or execute trades on your behalf. You use a self-hosted wallet to interact directly with the relevant blockchain(s)

If you do not agree to these Terms, do not access or use the Interface.

1. The Interface & Non-Custodial Access

1.1 Purpose. The Interface provides a user interface to discover quotes and route transactions to decentralized protocols on supported public networks. It is one of many ways a person may interact with such protocols; those protocols are autonomous smart contracts outside Lumexo’s control.

1.2 No custody / no brokerage. You connect a non-custodial wallet to use the Interface. Lumexo does not hold, control, or recover your private keys or assets; you are solely responsible for your wallet and for safeguarding credentials and seed phrases.

1.3 No liquidity operation. Fees paid at the protocol level accrue to liquidity providers or protocol treasuries, not to Lumexo (separate from any Interface Fee defined below). Lumexo is generally not a liquidity provider.

1.4 Third-party services. Links, SDKs, RPCs, price feeds, bridges, or other third-party modules you choose to use are provided by independent providers and subject to their own terms and privacy policies. Lumexo is not responsible for them.

2. Eligibility, Compliance & Restricted Use

2.1 Age and authority. You must be able to form a legally binding contract under the law of your jurisdiction. If you use the Interface on behalf of an entity, you confirm authority to bind that entity.

2.2 Sanctions / restricted locations. You represent you are not (i) on any sanctions or restricted-party list (including lists administered by OFAC or similar authorities), and (ii) not a citizen, resident, or entity organized in a comprehensively sanctioned jurisdiction. You will comply with all applicable laws and will not use the Interface for illegal activity.

2.3 Token/address screening. Lumexo may, in its discretion, block or de-list tokens or addresses on the Interface for legal, safety, IP, or sanctions reasons—even though underlying protocols may remain permissionless.

3. Changes, Availability & Support

3.1 Modifications. Lumexo may modify these Terms or any feature of the Interface at any time. Updated Terms will be posted with a new “Effective date”; continued use constitutes acceptance.

3.2 Availability. We may add, remove, suspend, or discontinue features, APIs, or integrations, including for technical, legal, or business reasons.

4.  Fees, Gas, Slippage & Taxes

4.1 Interface Fee. Lumexo currently charges an Interface Fee of 0.01% on eligible swaps routed via the Interface (separate from on-chain fees). The Interface will attempt to display any such fee before you sign a transaction. We may change the fee schedule at any time.

4.2 Network costs. You are solely responsible for gas/transaction fees charged by the relevant blockchain(s), as well as bridge fees or L2 costs.

4.3 Price impact & MEV. On-chain settlement is probabilistic and subject to slippage, MEV, failed transactions, reverts, reorgs, and other execution risks. Quotes shown in the Interface are not firm offers.

4.4 Taxes. You are responsible for any taxes arising from your use of the Interface.

5. Prohibited Activities

You agree not to, among other things: (a) violate laws or sanctions; (b) use the Interface for fraud, market manipulation, money laundering, or terrorist financing; (c) attempt to access accounts/wallets without authorization; (d) deploy malware, spam, or DDoS; (e) reverse engineer or scrape the Interface except as permitted by law; (f) circumvent geoblocks, token/address blocks, or safety filters.

6. No Investment, Legal, or Tax Advice

All content is for informational purposes only and does not constitute investment, legal, accounting, or tax advice, or an offer/solicitation to buy or sell any asset. You are solely responsible for your decisions and for obtaining professional advice as needed.

7. IP & License to Use the Interface

Lumexo and its licensors retain all IP rights in the Interface (software, design, text, graphics, trademarks, etc.). Subject to these Terms, Lumexo grants you a limited, revocable, non-exclusive, non-transferable license to use the Interface for its intended purpose. You grant Lumexo a limited license to display feedback you voluntarily provide for service improvement.

8. Risks You Acknowledge

You understand and accept the risks of: (a) smart-contract bugs; (b) asset volatility; (c) loss of private keys; (d) bridges/wrapped assets; (e) forks and network instability; (f) reliance on third-party infrastructure; and (g) blocked assets/addresses at the Interface level (while protocols stay permissionless).

9. Disclaimers

THE INTERFACE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR PERFORMANCE). You use the Interface at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMEXO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE INTERFACE—EVEN IF ADVISED OF THE POSSIBILITY.

In all cases, Lumexo’s aggregate liability for direct damages will not exceed the greater of (i) USD $100 or (ii) the total Interface Fees you paid to Lumexo in the 12 months preceding the claim. Some jurisdictions do not allow certain exclusions—your rights may vary.

11. Indemnification

You agree to defend, indemnify, and hold harmless Lumexo and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Interface; (b) your violation of these Terms or law; or (c) any third-party dispute relating to your use of the Interface.

12. Token & Listing Discretion

Lumexo may display, rank, warn about, block, or de-list tokens, pools, or addresses in its Interface for legal, safety, technical, or policy reasons—including in response to sanctions lists and credible fraud or IP claims. This does not affect the availability of those assets on underlying permissionless protocols outside Lumexo’s Interface.

13. Term & Termination

We may suspend or terminate your access to the Interface at any time, with or without notice, including if we believe you have violated these Terms or applicable law, or to comply with legal obligations. You may stop using the Interface at any time.

14. Governing Law & Venue

These Terms and any dispute or claim (contractual or non-contractual) arising out of or in connection with them are governed by the laws of Georgia. The courts of Tbilisi, Georgia shall have exclusive jurisdiction, and you consent to personal jurisdiction and venue there.

15. Class Action Waiver & Jury Trial Waiver

To the extent permitted by law, you waive any right to participate in a class action or class-wide arbitration against Lumexo, and waive a jury trial. If a waiver is not enforceable in your jurisdiction, it shall not affect the remaining provisions. (Note: this clause is common in leading DEX UI terms but should be confirmed by Georgian counsel).

16. Severability; Assignment; Entire Agreement

If any provision is found unenforceable, it will be modified to the minimum extent necessary; the remainder remains in effect. You may not assign these Terms without Lumexo’s consent. We may assign these Terms in connection with a merger, acquisition, or asset transfer. These Terms constitute the entire agreement between you and Lumexo regarding the Interface.
